Service Terms & Client Agreement

These Service Terms & Client Agreement (“Agreement”) govern the relationship between B2B Support Ltd (“we,” “us,” “our,” or “B2B Support”) and you, the client (“you,” “your,” or “Client”). By engaging our services, you agree to these terms in full.


1.Scope of Services

1.1 Project-Based Work

Each new website build, automation setup, or ongoing support engagement will be defined in a separate Project Agreement, including deliverables, timelines, and fees.

Work does not begin until the respective Project Agreement is signed by both parties.

Our pricing is tailored to each project’s specific requirements and scope:

  1. Customised Solutions: We tailor our pricing to match the unique needs of your business.
  2. Small Business Packages: Special hosting and maintenance packages designed specifically for small businesses.
  3. Flexible Budgeting: We work with you to accommodate your budget constraints while delivering quality solutions.

1.3 Special Promotions and Offers

We regularly run special promotions that provide significant value:

  2. Flexible Payment Options: In some cases, we offer free initial website development with costs spread throughout a 12-month period
  3. Loyalty Programs: Qualifying clients who commit to a 12-month service agreement may be eligible for complimentary website development

2. Client Responsibilities

2.1 Content & Approvals

You are responsible for providing all content (text, images, videos, data) and confirming its accuracy.

Once you approve any deliverable (design mockup, website build phase, automation flow), you assume full responsibility for that content. Further changes will incur additional fees.

2.2 Sensitive Data

If you require us to access or handle sensitive information (passwords, personal data, financial details), you must notify us in writing ahead of time. We will implement standard security measures but cannot be liable for data you choose to share without notice.


3. Deliverables & Quality Assurance

3.1 Backups & Maintenance

We perform daily backups for sites hosted under our maintenance plan. Backups are retained for 30 days.


Restoration requests outside the included plan or older than 30 days will incur additional fees.

3.2 Automation & Testing

Automation workflows (messaging, notifications, data transfers) will be thoroughly tested in a staging environment.


You must review and approve each workflow before it goes live. Any post‑approval issues will be subject to support fees if outside the standard maintenance scope.


4. Partner & Tool Usage

4.1 Third‑Party Partners

We may engage self‑employed partners (designers, photographers, videographers, copywriters) to fulfill project tasks.

Each partner is bound by confidentiality and non‑disclosure obligations.

4.2 Tools & Platforms

We reserve the right to select the appropriate software and platforms (e.g., website builders, automation engines, booking systems) necessary to deliver agreed services. For fully bespoke solutions, please contact us.

You acknowledge that certain tools may have their own terms; you agree to abide by those when using your accounts.


5. Payment Terms

5.1 Invoicing & Fees

Recurring monthly fees are invoiced in advance via our payment system is due on the invoice date.


One‑time project fees or hourly charges are invoiced upon milestone completion or at month’s end.

5.2 Late Payments

Unpaid invoices by the due date incur a 5% late fee per 30 days past due.


We may suspend services (including backups and support) for invoices overdue by more than 60 days.


6. Term & Termination

6.1 Term

This Agreement remains in effect for the duration of any active Project Agreements or maintenance subscriptions.

6.2 Termination

Either party may terminate a Project Agreement with 14 days’ written notice.

Subscription services may be canceled at any time; prepaid months are non‑refundable.

6.3 Consequences of Termination

Upon termination, you will lose access to backups and support.

Any outstanding fees become immediately due.


7. Warranties & Liability

7.1 Warranties

We warrant that services will be performed with reasonable skill and care.


Except as expressly provided, all other warranties are disclaimed.

7.2 Limitation of Liability

Our total liability for any claim does not exceed the fees you paid us in the prior 12 months.


We are not liable for indirect, incidental, or consequential damages.


8. Confidentiality & Data Protection

8.1 Confidential Information

Both parties agree to keep each other’s confidential information secure and not to disclose it without prior written consent.

8.2 Data Protection

We comply with applicable data protection laws. You are responsible for ensuring any personal data you provide has been obtained lawfully.


9. Governing Law & Dispute Resolution

This Agreement is governed by the laws of England & Wales.

Any dispute shall first be referred to mediation; if unresolved within 30 days, parties may pursue court proceedings.


10. Changes to These Terms

We may update these terms with 30 days’ notice. Continued use of our services after notice constitutes acceptance.


By signing each Project Agreement and using our services, you acknowledge that you have read, understood, and agree to these Service Terms & Client Agreement.
